Owner: MCMX, LLC ("we," "our," "us")

Website: postmastertv.com ("PostMaster," the "Service")

These Terms and Conditions ("Terms") govern your access to and use of PostMaster. Please read them carefully. By using the Service you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference.

1. Acceptance of Terms

By creating an account, subscribing, or otherwise accessing or using PostMaster, you agree to these Terms. If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree, you may not use the Service.

2. Eligibility

You must be at least 18 years old to use PostMaster. By using the Service, you confirm that you meet this requirement and that you are able to form a legally binding contract.

3. Accounts and Access

  • You must provide accurate, current, and complete information when creating an account.
  • You are responsible for maintaining the confidentiality and security of your login credentials, and for all activity that occurs under your account.
  • You must notify us promptly of any unauthorized use of your account or any other breach of security.
  • Access codes may be provided for certain accounts to bypass payment. Access codes are non-transferable and may be revoked at any time.

4. Subscriptions and Payment

  • PostMaster offers monthly and annual subscription plans, and may offer specific tools on a per-plan or usage basis.
  • Payments are processed securely through Stripe. We do not store your full payment card details on our servers.
  • A free trial may be provided. After any trial period, all sales are final and no refunds are offered except where required by law.
  • Subscriptions automatically renew at the then-current rate unless cancelled prior to the renewal date. You may cancel at any time; cancellation takes effect at the end of the current billing period.
  • We may change pricing or plan features on a prospective basis with reasonable notice.

5. User Content and License

  • You may upload media, documents, and other files (videos, images, EDLs, contracts, and similar materials) to the Service ("User Content").
  • You retain all rights, title, and interest in your User Content. We do not claim ownership of it.
  • You grant us a limited, non-exclusive, worldwide license to host, store, process, transmit, and display your User Content solely for the purpose of operating the Service and providing its features to you (including AI processing as described in Section 6).
  • We do not use your User Content to train our own or any third party's foundation models, and we do not sell your User Content.
  • You are solely responsible for your User Content and for ensuring you have all rights, consents, and permissions necessary to upload and process it.

6. AI Tools — No Professional or Legal Advice

PostMaster provides AI-assisted tools, including but not limited to Shot Descriptions, Metadata Extraction, Clearance Review, and Contract Review. You acknowledge and agree that:

  • AI-generated output is provided for informational and productivity purposes only and may contain errors, omissions, or inaccuracies.
  • The Clearance Review and Contract Review tools do not constitute legal advice and do not create an attorney-client relationship. Their output is an aid to, and not a substitute for, review by a qualified attorney or clearance professional.
  • You are responsible for independently verifying all AI-generated output before relying on it, and for any decisions made based on that output.
  • We make no representation or warranty that AI output is accurate, complete, current, or fit for any particular purpose.

7. Security and Data Protection

We take the confidentiality of your content seriously and use industry-standard measures to protect it, including:

  • Encryption: Data is encrypted in transit using TLS and at rest using server-side AES-256 encryption in Amazon Web Services (AWS) S3 storage.
  • Isolation and access control: User files are stored in access-controlled, user-isolated storage, and application-level controls restrict access to your own content. Stored third-party API credentials are encrypted.
  • Confidential AI processing via Amazon Bedrock: Confidential materials submitted to our AI tools — including contracts and footage processed through Contract Review and Clearance Review — are processed using AI models hosted within Amazon Bedrock on AWS infrastructure. Content sent to Amazon Bedrock is not shared with third-party model providers and is not used to train foundation models, and is handled within AWS's secure environment.
  • Retention: Processed documents are subject to automated retention limits and are deleted after their retention period. You may also request deletion of your account and associated data, subject to our billing and legal obligations.

While we implement these safeguards, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security. You are responsible for maintaining your own backups of critical materials.

8. Prohibited Use

You agree not to:

  • Upload or process unlawful, harmful, defamatory, or infringing content, or content you do not have the right to use.
  • Attempt to hack, disrupt, overload, reverse engineer, or otherwise misuse or interfere with the Service or its infrastructure.
  • Attempt to gain unauthorized access to any account, system, or data.
  • Use the Service to develop a competing product, or to scrape, resell, or redistribute the Service or its output without authorization.
  • Share access with unauthorized users or exceed the scope of your subscription.

9. Data and Storage

  • We may monitor storage space per user and track usage of tools within the platform for billing, security, and product-improvement purposes.
  • Excessive storage use beyond your plan may result in restrictions or additional charges.

10. Intellectual Property

  • All trademarks, logos, software, and other materials within PostMaster (excluding your User Content) are owned by MCMX, LLC or its licensors and are protected by intellectual property laws.
  • We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription. You may not copy, modify, distribute, sell, or create derivative works of the platform.

11. Third-Party Services

The Service relies on third-party providers, including AWS (storage, serverless processing, and Amazon Bedrock AI) and Stripe (payments). Your use of the Service may be subject to those providers' terms. We are not responsible for the acts, omissions, or availability of third-party services.

12. Copyright and DMCA

We respect intellectual property rights. If you believe content on the Service infringes your copyright, contact us at PostMaster@postmastertv.com with sufficient detail to identify the material and your rights. We may remove infringing material and terminate repeat infringers.

13. Disclaimers of Warranties

THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that any output will be accurate or reliable.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MCMX, LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR ANY OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless MCMX, LLC and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use or misuse of the Service; (c) your violation of these Terms or applicable law; or (d) your infringement of any third-party right.

16. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, create risk or legal exposure for us, or for prolonged inactivity or non-payment. Upon termination, your right to use the Service ceases, and we may delete your account and User Content in accordance with our retention practices. Sections that by their nature should survive (including Sections 5, 6, 10, and 13–19) will survive termination.

17. Changes to the Service and Terms

We may modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms from time to time. Material changes will be reflected by updating the "Last Updated" date above, and your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

18. Force Majeure

We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet or utility failures, or the acts or omissions of third-party providers.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Georgia, and you consent to the personal jurisdiction of those courts. Any claim must be brought within one (1) year after it arises.

20. General

These Terms, together with the Privacy Policy, constitute the entire agreement between you and MCMX, LLC regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
